HIPAA Business Associate Agreement This Business Associate Agreement ("Agreement") is entered into between your practice ("Covered Entity") and Intelibly ("Business Associate") in compliance with the Health Insurance Portability and Accountability Act of 1996 ("HIPAA").
1. Definitions Terms used but not otherwise defined in this Agreement shall have the meanings set forth in HIPAA and its implementing regulations.
2. Obligations of Business Associate Business Associate agrees to:
Use or disclose Protected Health Information (PHI) only as permitted by this Agreement or as required by law
Implement appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this Agreement
Report to Covered Entity any use or disclosure of PHI not provided for by this Agreement
Ensure that any subcontractors or agents who receive PHI agree to the same restrictions and conditions
3. Permitted Uses and Disclosures Business Associate may use or disclose PHI to perform functions, activities, or services for, or on behalf of, Covered Entity as specified in the service agreement, provided that such use or disclosure would not violate HIPAA if done by Covered Entity.
4. Term and Termination This Agreement shall be effective as of the date of acceptance and shall terminate when all of the PHI provided by Covered Entity to Business Associate is destroyed or returned to Covered Entity, or when the service agreement is terminated.
